Terms of Service
Please read these terms carefully before using Clariti. They govern your rights and obligations as a user.

These Terms of Service ("Terms") form a legally binding agreement between you and Galific Inc. ("Clariti"). By creating an account or using the Service, you confirm that you have read, understood, and agreed to these Terms in full.
1. Acceptance of Terms
Agreement
By accessing or using Clariti (the "Service"), operated by Galific Inc. ("Clariti", "we", "our", "us"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation.
Changes
We may update these Terms from time to time. We will notify you of material changes via email or an in-app notice at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
2. The Service
Description
Clariti is a data analytics platform that connects your business data sources, applies AI to generate insights and recommendations, and presents results through dashboards, summaries, and natural-language interfaces.
Beta features
Features marked as beta, preview, or experimental are provided as-is and may be modified or discontinued without notice. We do not provide SLA guarantees for beta features.
Availability
We target 99.9% monthly uptime for paid plans (excluding scheduled maintenance and circumstances beyond our control). We will notify you of scheduled maintenance at least 48 hours in advance.
3. Your Account
Registration
You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the security of your credentials and for all activity that occurs under your account.
Age requirement
You must be at least 18 years old to use the Service. By using Clariti you represent that you meet this requirement.
One account per user
Each individual user must have their own account. Sharing login credentials between multiple people is not permitted and may result in account suspension.
4. Your Data
Ownership
You retain full ownership of all data you upload, connect, or generate within Clariti. We claim no intellectual property rights over your content.
Licence to process
By connecting data to Clariti, you grant us a limited, non-exclusive licence to access, process, and analyse that data solely for the purpose of providing the Service to you.
AI outputs
Insights, summaries, and recommendations generated by Clariti are AI-generated. While we strive for accuracy, you are responsible for verifying outputs before making business decisions. Clariti outputs do not constitute professional financial, legal, or medical advice.
Prohibited data
You may not upload or connect data that contains: sensitive health information subject to HIPAA (unless you have executed a BAA with us); payment card data subject to PCI-DSS; or data you do not have the legal right to process.
5. Acceptable Use
Permitted use
You may use Clariti only for lawful business purposes and in accordance with these Terms. You are responsible for ensuring your use complies with all applicable laws and regulations in your jurisdiction.
Prohibited conduct
You may not: attempt to gain unauthorised access to Clariti systems; use the Service to store or transmit malicious code; scrape or extract data from the Service in bulk without written permission; resell or sublicense access to the Service without our consent; or use the Service to harm, harass, or defraud others.
Enforcement
We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice depending on the severity of the violation.
6. Payment and Billing
Fees
Paid plans are billed in advance on a monthly or annual basis. All fees are stated in USD and are non-refundable except as required by law or as explicitly stated in our refund policy.
Trials
Free trials are offered at our discretion. At the end of a trial, your account will be downgraded to the free tier unless you have provided payment details and elected to continue on a paid plan.
Price changes
We will give you at least 30 days' notice before increasing prices on your current plan. Price increases take effect at your next renewal date.
Taxes
You are responsible for any applicable taxes, levies, or duties. Where required by law, we will collect and remit taxes on your behalf.
7. Intellectual Property
Our IP
Clariti and all associated technology, trademarks, logos, and content created by us remain our exclusive property. These Terms do not grant you any rights in our intellectual property except the limited right to use the Service.
Feedback
If you submit ideas, suggestions, or feedback about Clariti, you grant us a perpetual, irrevocable, royalty-free licence to use that feedback without restriction or compensation to you.
8. Disclaimers and Limitation of Liability
Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLARITI'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO CLARITI IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
9. Termination
By you
You may cancel your account at any time from your account settings. Cancellation takes effect at the end of your current billing period. No refunds are issued for the remainder of a paid period.
By us
We may suspend or terminate your account immediately if you violate these Terms, fail to pay fees, or if we are required to do so by law. We will provide notice where reasonably practicable.
Effect of termination
Upon termination, your access to the Service ceases. We will delete your workspace data within 90 days per our Privacy Policy, unless retention is required by law.
10. Governing Law and Disputes
Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.
Dispute resolution
Before filing a formal claim, you agree to contact us at legal@clariti.ai and attempt to resolve the dispute informally for at least 30 days. If resolution is not reached, disputes shall be resolved by binding arbitration under the AAA Commercial Arbitration Rules.
Class action waiver
You agree to bring claims against Clariti only in your individual capacity, not as a plaintiff or class member in any class action or representative proceeding.
